Application of Terms and Conditions

Article 1

The company will stipulate the Terms and Conditions of this public wireless LAN service agreement (hereinafter referred to as the "agreement") based on the provisions of the Telecommunications Business Act (Act No. 86; 1984), to provide public wireless LAN services.

Changes to Terms and Conditions

Article 2

  • 1.
    If it is necessary to change these Terms and Conditions due to amendments to laws and regulations, changes in social conditions, or other circumstances, the company may change these Terms and Conditions based on the provisions of Article 548 (4) (Changes to the Standard Terms and Conditions) of the Civil Code (Act No. 89 of 1896).
  • 2.

    When the company changes these Terms and Conditions pursuant to the preceding paragraph, the company will specify the effective date and notify the following matters by posting them on the company website or by other means, by the effective date.

      The fact that this agreement has been changed;
    2. (2)
      The contents of these Terms and Conditions after the changes; and
    3. (3)
      The effective date

Definition of Terms

Article 3

The terminology below are used in these Terms and Conditions with the following meaning.

1 Telecommunications equipment Machinery, equipment, lines and other electrical equipment used for the purpose of telecommunications
2 Telecommunications services The use of telecommunications equipment to mediate the communication of others, or the use other telecommunications equipment for the communication of others
3 Telecommunications line equipment Transmission line equipment that connects the transmitting location and the receiving location, exchange equipment installed as an integral part thereof, and ancillary equipment thereto
4 Public wireless LAN network Telecommunications line equipment for the transmission and exchange of codes using Internet protocols mainly for the purpose of data communication
5 Public wireless LAN service Telecommunications services implemented by the company's using a public wireless LAN network and provided by the company by setting up a telecommunications line between wireless base station equipment and mobile radio equipment of the contractor
6 Public wireless LAN service handling office
  • (1)
    A company office that conducts business related to public wireless LAN service
  • (2)
    The office of people who perform contractual work related to public wireless LAN services as commissioned by the company
7 Public wireless LAN agreement An agreement to receive public wireless LAN service from our company
8 Our company Wire and Wireless Co., Ltd.
9 Contractor A person who has entered into a public wireless LAN agreement with the company
10 Wireless base station equipment Telecommunications equipment for transmitting or receiving radio waves using mobile radio equipment
11 Contractor line Telecommunications lines set up between company wireless base station equipment and mobile radio equipment under a public wireless LAN agreement
12 Business districts The range radio waves reach from the wireless base station equipment installed by our company
13 Mobile wireless equipment Antennae and wireless transmission and reception equipment used in business districts that have the function of communicating with company wireless base station equipment and are used under a public wireless LAN agreement
14 Roaming Telecommunications services provided by separately specified telecommunications carriers that users may use pursuant to the provisions of Article 30 (Use of Roaming, and the Like)
15 Users A person who uses public wireless LAN services (including contractors)
16 User identification code A combination of letters and numbers to identify users
17 User password codes A combination of letters and numbers to identify users
18 VPN features Features that enable communication with the Internet by connecting to our equipment via a public network using encryption, encapsulation, and other technologies
19 Communication optimization feature A feature that enables communication connected to our equipment using a VPN feature to be transmitted to and received from the Internet after compression and bandwidth adjustment.
20 Registration status linkage feature When the contractor uses a network or service operated by a third party other than the company, the feature of responding with the agreement status to the administrator of the network by sending the user identification code and the user password code to the company
21 Consumption tax equivalent The amount of consumption tax imposed based on the provisions of the Consumption Tax Act (Act No. 108; 1988) and the laws and regulations related to the same Act, and the amount of local consumption tax imposed based on the provisions of the Local Tax Act (Act No. 226 of 1950) and the laws and regulations related to the same Act

Public wireless LAN service business district

Article 4

The business district of the public wireless LAN service provided by the company will be as specified separately.

Type of Agreement

Article 5

The type and item of the public wireless LAN agreement will be as specified in the Fee Table.

Unit of agreement

Article 6

The company will enter into a public wireless LAN agreement for each user identification code of 1. In this case, the limit is one contractor per public wireless LAN agreement.

How to apply for a public wireless LAN agreement

Article 7

When applying for a public wireless LAN agreement, the applicant must apply according to the procedures prescribed separately by the company.

Acceptance of application for public wireless LAN agreement

Article 8

  • 1.
    The company will accept applications for a public wireless LAN agreement in the order in which they are made.
  • 2.

    Notwithstanding the provisions of the preceding paragraph, the company may not accept applications for a public wireless LAN agreement under the following cases.

    • (1)
      When it is extremely technically difficult to provide public wireless LAN services;
    • (2)
      When the applicant fails to pay the public wireless LAN service fee or costs related to construction, or there is a risk of their failing to do so; and
    • (3)
      When there is a significant impediment to the company's execution of business related to public wireless LAN services.

Change of agreement content

Article 9

  • 1.
    When attempting to change the content of the public wireless LAN agreement, the applicant must apply according to the procedures prescribed separately by the company.
  • 2.
    When a request described in the preceding paragraph is made, the company will handle it in accordance with the provisions of Article 8 (Acceptance of Application for Public Wireless LAN agreement).

Transfer of rights

Article 10

The contractor may not transfer its position under the public wireless LAN agreement or transfer its rights and obligations under the public wireless LAN agreement to a third party or provide it to a third party as collateral without the written consent of the company.

Cancellation of public wireless LAN agreement by contractor

Article 11

When the contractor intends to cancel the public wireless LAN agreement, the contractor must follow the predetermined procedures.

Canceling the public wireless LAN agreement by the company

Article 12

  • 1.

    The company may cancel the public wireless LAN agreement in the following cases.

    • (1)
      When a contractor who was suspended from using the public wireless LAN service pursuant to the provisions of Article 15 (Suspension of Use) still does not resolve the issue; and
    • (2)
      When the contractor fails to perform their obligations under the public wireless LAN agreement.
  • 2.
    When the company intends to cancel the public wireless LAN agreement pursuant to the provisions of the preceding paragraph, the company will notify the contractor to that effect in advance. However, this does not apply for unavoidable emergencies.

End of public wireless LAN Agreement

Article 13

The company may terminate the public wireless LAN agreement after a three-month notice period. However, if the public wireless LAN agreement is terminated within the advance notice period due to reasons beyond the reasonable control of the company, the public wireless LAN agreement will be terminated by promptly notifying the contractor with the reason.

Cancellation of Use

Article 14

  • 1.

    The company may cancel the public wireless LAN agreement for the following cases.

    • (1)
      When it is unavoidable for the maintenance or construction of company telecommunications equipment;
    • (2)
      When the use of communication is terminated pursuant to the provisions of Article 17 (Restrictions on the Use of Communication); and
    • (3)
      When a malfunction has occurred in the telecommunications equipment installed by the company.
  • 2.
    When the company intends to cancel the public wireless LAN agreement pursuant to the provisions of the preceding paragraph, the company will notify the contractor to that effect in advance. However, this does not apply for unavoidable emergencies.

Cessation of Use

Article 15

  • 1.

    The company may stop use the public wireless LAN service when any of the following applies to the contractor.

    • (1)
      When it is found that false information was given at the time of application for the agreement;
    • (2)
      When the public wireless LAN service fee or the like is not paid even after the payment date;
    • (3)
      When a provision of Article 29 (Contractor's Obligations) is violated;
    • (4)
      When there is any other violation of these Terms and Conditions; and
    • (5)
      There have been other acts deemed inappropriate by the company.
  • 2.
    When the company cancels use of the public wireless LAN service pursuant to the provisions of the preceding paragraph, the company will notify the contractor of the reason, and the date and period for cessation of use in advance. However, this does not apply for unavoidable emergencies.

Communication

Article 16

The public wireless LAN service is a service that uses mobile wireless equipment that conforms to the technical standards of IEEE802.11a, IEEE802.11b, IEEE802.11g, IEEE802.11n, IEEE802.11ac, or IEEE802.11ax, and implements communication by connecting mobile wireless equipment marked as conforming to the technical standards in Japan that fall under the technical standards to wireless base station equipment (limited to equipment installed to use the public wireless LAN service. Furthermore, even mobile wireless equipment that is not marked as conforming to the technical standards in Japan, mobile wireless equipment brought in by persons entering Japan (limited to those that conform to the technical standards), communication is possible by connecting to the company wireless base station equipment up to the day 90 days after the date of entry of that. However, the company does not guarantee the code transmission rate specified in its technical standards.

Restrictions on the Use of Communication

Article 17

  • 1.

    When communication is significantly heavy and the entire communication cannot be connected, the company may take steps to suspend the use of the contractor's line (limited to those determined by the company in consultation with those institutions) related to the following institutions, in order to give priority to communications that contain matters necessary for the prevention of disasters or rescue, transportation, communication, or maintenance of to ensure power supply, or for the maintenance of order, and communications that contain matters that are urgent for the public interest, when natural disasters, accidents, or other emergencies occur or are likely to occur.

    (1) Meteorological agency, (2) Flood control agency, (3) Fire department, (4) Disaster relief agency, (5) Police agency (including the Japan Coast Guard. The same applies below), (6) Defense agency, (7) Agencies directly related to ensuring transportation, (8) Agencies directly related to ensuring communications, (9) Agencies directly related to ensuring power supply, (10) Agencies directly related to ensuring gas supply, (11) Agencies directly related to ensuring water supply, (12) Election control agencies, (13) Newspapers, broadcasters and news agencies that fall under the standards separately designated by the company, (14) Financial institutions conducting deposit and savings business, and (15) Agencies of the state or local government

  • 2.
    When such communication occurs, the communication may not reach the other party.
  • 3.
    When the user connects to the wireless base station equipment, the company will disconnect the connection when there is no communicate for a certain period of time.
  • 4.
    The company may restrict communication with the connection destination designated in the child pornography address list (meaning the information on the Internet connection destination provided by the company based on the child pornography address list provision terms stipulated by the association) created by the Internet Content Safety Association to prevent the distribution of child pornography.
  • 5.
    The company may implement measures to limit the communication speed per one contractor line or the communication of the software or communication protocol specified by the company in order to prevent hindrances occurring in offering smooth company telecommunications services and hindrances in the use of the user's public wireless LAN services caused by the tightness of the telecommunications equipment or a tight communication bandwidth in the communication network.

Restrictions caused by contractor line

Article 18

  • 1.
    If the contractor is unable to use the contractor's line, the contractor may not be able to use public wireless LAN services.
  • 2.

    For public wireless LAN services, in addition to the provisions of the preceding paragraph, the state in which the transmission speed of communication by the contractor line decreases or fluctuates due to the following reasons, the state in which code errors occur, or the state in which the public wireless LAN service is completely unavailable (including the case where the communication is significantly impaired and the state is the same as the state in which it is not available at all; hereinafter referred to as a "phenomenon caused by wireless characteristics).

    • (1)
      Line distance and equipment status of wireless base station equipment relating to the contractor line;
    • (2)
      Radio wave interference due to signal leakage from telecommunications line equipment from other telecommunications services;
    • (3)
      Radio wave interference due to the generation of electromagnetic waves from electrical products and special medical devices, or the like;
    • (4)
      Radio wave interference caused by shielding; and
    • (5)
      Malfunction of mobile wireless equipment connected to the contractor line
  • 3.
    The company may limit the communication bandwidth on the contractor line if the company finds that the communication conducted using the contractor line has caused or is likely to cause a strain on the capacity of company telecommunications equipment, such as generating a communication that is found to be excessive compared to the total volume of communication handled on company telecommunications equipment, or has caused or is likely to cause a hindrance to the provision of the company's public wireless LAN service to other contractor lines.
  • 4.
    The company may inspect or relocate, expand or reduce all or part of the wireless base station equipment (hereinafter referred to as "relocation, or the like") due to unavoidable technical reasons. In this case, even in the business area, communication may not be possible.
  • 5.
    When the company inspects or relocates or the like the wireless base station equipment pursuant to the provisions of the preceding paragraph, the company will notify the contractor to that effect in advance. However, this does not apply for unavoidable emergencies.

Fees

Article 19

The fee for the public wireless LAN service provided by the company will be the fee specified in Fee Table 1 (Fees), and the basic fee, communication fee, and consumption tax (hereinafter referred to as "fees, and the like") will be combined according to the type of public wireless LAN service provided by the company.

Fee payment obligation

Article 20

  • 1.
    The contractor will be required to pay the fees, and the like prescribed in the Fee Table 1 (Fees) for the period from the date on which the company began providing public wireless LAN services based on the public wireless LAN agreement until the date on which the agreement was canceled or terminated (if the date on which services were started and the date on which services were canceled, terminated or abolished is the same, it will considered one day).
  • 2.

    During the period set forth in the preceding paragraph, when the public wireless LAN service becomes unavailable, the payment of the basic fee will be as follows.

    • (1)
      If there is a suspension of use, the contractor will be required to pay the basic fee during the period.
    • (2)
      In addition to the provisions of the preceding item, the contractor will be required to pay the basic fee during the period during which the public wireless LAN service was not available, except in the following cases.
    Distinction Fees not requiring payment
    1. When the public wireless LAN service is completely unavailable for reasons not attributable to the contractor (including the case where all communications by the telecommunications equipment relating to the public wireless LAN agreement are significantly impaired and the state is the same as when their are completely unavailability) (excluding the case where the two fields apply), when the state is continuous for 24 hours or longer from the time when the company became aware of the situation (excluding the case where the state of the unavailability is caused by a phenomenon relating to the wireless characteristics). For the unavailable time (limited to the part that is a multiple of 24 hours) after the time when the company becomes aware, calculate the number of days every 24 hours, for the basic fee for the public wireless LAN service corresponding to that number of days
    2. When the public wireless LAN service is completely unavailable due to the intentional or serious negligence of the company. The basic fee for the public wireless LAN service that corresponds to the unavailable time
  • 3.
    The company will refund fees that are not required to be paid if they have already been paid. However, interest will not be included, except in cases where the company is willfully or grossly negligent.

Obligation to pay expenses relating to procedures

Article 21

The contractor will be required to pay the expenses based on the fee table when the company approves, for requests relating to the Fee Table 2 (expenses related to procedures).

Fee calculation method

Article 22

The method for calculation and payment of the fee will be as specified in the general rules of the fee list.

Premium

Article 23

If the contractor unlawfully avoided payment of fees and other obligations, the contractor will pay the amount avoided, and an amount that adds the consumption tax amount to an amount equivalent to double the avoided amount (an amount that does not add the consumption tax equivalent) as a premium, using a method separately specified by the company.

Late payment interest

Article 24

If the contractor has not paid the fees and other debts (excluding overdue interest) after the payment date has passed, the contractor will pay as delay interest, the amount obtained by calculating at a rate of 14.5% per year for the period from the day after the payment due date to the day before the payment date using a method separately specified by the company.

However, this does not apply in the event that payment is made within 10 days from the day following the payment due date.

Contractor's shared responsibility

Article 25

  • 1.
    When the contractor becomes unable to use the public wireless LAN service, after confirming that the mobile wireless owned by the contractor relating to the contractor's line is not faulty, request the company to investigate.
  • 2.
    Upon confirmation of the preceding paragraph, when a request is made by the contractor, the company will conduct a test in a method separately specified by the company and notify the contractor of the result.
  • 3.
    In the event that the company determines that the telecommunications equipment installed by the company is faulty based on the tests set forth in the preceding paragraph, if as a result of the dispatch of the company's personnel at the request of the contractor, the contractor is unable to use the public wireless LAN service because of the failure of the mobile wireless equipment owned by the contractor on the contractor's line, the contractor will bear the cost of that dispatch. In this case, the contractor's responsibility will be the amount of expenses required for dispatch plus the amount equivalent to consumption tax.

Compensation for damages

Article 26

  • 1.
    When the company cannot provide services for reasons attributable to the company, when the company should provide public wireless LAN services, if the state in which the public wireless LAN services are completely unavailable (including the case where all communications by the telecommunications equipment relating to the public wireless LAN agreement are significantly impaired and the state is the same as the state in which the public wireless LAN services are not available at all. Hereinafter, the same applies below), and only when the state is continuous for 24 hours or longer, the contractor will be compensated for the damage. However, this does not apply in the event that it becomes completely unavailable due to an event caused by wireless characteristics.
  • 2.
    In the case of the preceding paragraph, the company will deem the damage that generated the fee (limited to the basic fee) for the public wireless LAN service corresponding to the continuous time (limited to the part that is a multiple of 24 hours) after the time when the company became aware that the public wireless LAN service is completely unavailable, and will compensate for the damage only.
  • 3.
    The provisions of the preceding item 2 do not apply when the public wireless LAN service is not provided due to the intentional or serious negligence of the company.
  • 4.
    The company will bear no responsibility for user damages that occurred because a third party other than the contractor and the user relating to the agreement ("the user, or the like." The same applies below.) used the user identification code and the user password code
  • 5.
    If the public wireless LAN service cannot be provided due to force majeure, regardless of a natural disaster, accident or other reason, the company will not be liable.
  • 6.
    The company assumes no liability whatsoever for information (including computer programs) obtained by the contractor's use of public wireless LAN services. Furthermore, the company accepts no liability whatsoever for any damages incurred as a result of such information.
  • 7.
    If any claim or lawsuit is made by the contractor or a third party of the public wireless LAN service in relation to the use of the public wireless LAN service, for causing damages to the contractor or third party of another public wireless LAN service, the contractor will resolve the claim or lawsuit at their own expense and responsibility, and will not cause any damage to the company.

Limits of consent

Article 27

When the contractor makes a request for construction or other work, the company may not accept the request in the event that it is technically difficult to accept the request or when there is a hindrance to execution of company work related to public wireless LAN services, such as when it is extremely difficult to maintain. In such a case, we will notify the person who made the request of the reason.

However, if there are other provisions in these Terms and Conditions or other terms, it will depend on the stipulations.

Partial change of equipment settings

Article 28

  • 1.
    In addition to the provisions in Article 14 (Cancellation of Use) and Article 18 (Restrictions Caused by Contractor Line), the company may change the settings of telecommunications equipment related to public wireless LAN services in order to provide stable public wireless LAN services.
  • 2.
    In the case of the preceding paragraph, when the setting of the telecommunications equipment pertaining to the public wireless LAN service is partially changed, the contractor will be notified to that effect in advance. However, this does not apply for unavoidable emergencies.

Contractor obligations

Article 29

  • 1.

    The contractor will comply with the following.

    • (1)
      Will not relocate, remove, modify, disassemble, or destroy the telecommunications equipment installed by the company, or communicate lines or other conductors to the equipment;
    • (2)
      Will not intentionally leave telecommunications equipment on hold or otherwise interfere with the transmission and exchange of communications; and
    • (3)
      Will not use public wireless LAN services in a manner that is illegal or contrary to public order and morals.
  • 2.
    The contractor will cooperate with surveys on public wireless LAN services implemented by the company or an entity contracted by the company.
  • 3.
    The contractor will store the telecommunications equipment installed by the company with the duty of care of a good manager, and will not cause changes or damage that will interfere with the company's business.

Use of roaming and others

Article 30

  • 1.
    Users may use roaming in a method separately specified by the company.
  • 2.
    The business district for roaming is specified on the company Internet homepage. However, even in the business district related to roaming, communication may not be possible in some areas or where radio waves do not transmit easily.
  • 3.
    Roaming may be restricted in accordance with the provisions of the agreement Terms and Conditions of the telecommunications carrier related to the roaming.

Provision of optional functions, and others

Article 30 (2)

The company will provide optional functions defined in the Appended Table.

Use of contractor information

Article 31

The company will not disclose to a third party contractor personal information obtained in connection with the provision of public wireless LAN services, except in the following cases, and will not use it beyond the scope necessary for the provision of public wireless LAN services.

  • (1)
    When sending e-mails, or the like for the purpose of advertising, publicity or providing other information about the company or its partners (does not include disclosure of personal information to a third party such as a partner);
  • (2)
    When providing personal information to a business contractor required by a contract, or the like, properly to control personal information for the purpose of outsourcing work necessary in providing public wireless LAN services;
  • (3)
    When personal information is collected aggregated and analyzed for the purpose of improving the public wireless LAN service;
  • (4)
    When planning, developing and providing products, and services, and the like of partner businesses (including but not limited to capital alliances and business alliances), as well as distributing, displaying and optimizing advertisements, and questionnaires, and the like of partner business operators and other information that the company deems useful to contractors and others;
  • (5)
    When disclosing or providing to a third party, such as an affiliated partner, information obtained through the aggregation and analysis, and the like in the preceding item in a manner that does not enable identification, or specify the identify of an individual;
  • (6)
    When sending e-mails, and the like to a contractor for the purpose of requesting consent for the use of personal information;
  • (7)
    Other cases in which personal information is used after obtaining the consent of the contractor;
  • (8)
    When based on laws and regulations; and
  • (9)
    When disclosure is based on a warrant issued by a court or when there is a request from a public body;

Discussions

Article 32

In the event of a dispute between the contractor and the company in connection with the public wireless LAN service, the parties will discuss the issue in good faith.

Agreement jurisdiction

Article 33

In the event that a lawsuit is necessary between the contractor and the company in connection with this agreement, the district court having jurisdiction over the location of the company's head office will be the court of exclusive agreement jurisdiction of the first instance.

Governing law

Article 34

The establishment, efficacy, interpretation and performance of these Terms and Conditions will be governed by the laws of Japan.

Fee Table

General rules

Fee calculation method and the like

  • 1.
    Of the fees paid by the contractor based on the agreement, the basic fee will be calculated according to the fee month (if the date of communication starts and ends is a different fee month, the fee month including the date communication starts).
    However, when the company deems necessary, the fee will be calculated from time to time according to a period determined separately by the company regardless of the fee month.
  • 2.
    The company may change the starting date of the fee month set forth in the preceding paragraph if it is unavoidable for the company to conduct its business.
  • 3.
    The calculation of the fee is the amount is implemented excluding tax stipulated in this Fee Table (the amount that is not added the amount equivalent to consumption tax. The same applies below).
  • 4.

    The following describes the handling of the fixed monthly basic fee.

    • (1)
      The fixed monthly base fee for the calendar month that includes the start date of the provision of public wireless LAN services will be free of charge.
    • (2)
      The fixed monthly basic fee for the calendar month that includes the cancellation date of the public wireless LAN agreement is the amount equivalent to one month of the monthly fee.
    • (3)
      In the event of a cancellation of the public wireless LAN agreement during the no-charge period, the fixed monthly basic fee will be the amount equivalent to one month of the monthly fee.

    Furthermore, the basic fee for hourly agreements is shown below.

    • (1)
      Calculate in time units of the time unit agreement.
    • (2)
      If there is a cancellation of the public wireless LAN agreement after the issuance of the user identification code for the hourly agreement, the basic fee for the hourly agreement will be paid.
  • 5.
    Notwithstanding the provisions of items 1 to 4, if there is a different provision in the Fee Table, it will be subject to that provision.

Rounding

  • 6.
    For fees and other calculations, if a fraction of less than 1 yen occurs in the calculation result, the fraction will be rounded down.

Payment of fees and the like

  • 7.
    Pay fees, and the like by credit card payment, or the like separately specified by the company.
  • 8.
    Fees, and the like must be paid in accordance with the order of arrival of the payment date.

Lump-sum post-payment of fees and the like

  • 9.
    If special circumstances apply for the company, notwithstanding the provisions of 7, the contractor may be requested collectively to pay a fee of two months or more by a deadline specified by the company.

Addition of amount equivalent to consumption tax

  • 10.

    The amount of fees and the like that is required to be paid specified in the Fee Table pursuant to the provisions of Article 20 (Fee Payment Obligation) and other provisions of this agreement is the amount prescribed in this Fee Table (the amount that is not added with the amount equivalent to consumption tax. The same applies hereinafter) will be the amount calculated based on the amount equivalent to consumption tax.

    According to the above calculation method, the amount that will be required to be paid may differ from the total of the amount shown in the Fee Table (the price including tax. (the amount added with the amount equivalent to consumption tax). The same applies below.)).

    • (Note)
      The fee amount stipulated in this Fee Table is the price excluding tax, excluding the one-time type and the fee amount of specific area prepaid services.

Table 1 Fees

1. Application

In addition to the provisions of Article 20 (Fee Payment Obligation), the following applies to the basic fee.

  • (1)

    The company will provide public wireless LAN services based on the type of agreement in the table below.
    In addition, the usage area according to the type of agreement and plan type will be determined separately by the company (including the partner company).

  • (2)

    The company will apply the conditions related to the use of public wireless LAN services and the appended table (optional features) based on the type of agreement in the table below for the price plan type called "Gigazo."
